Frequently Asked Legal Questions for Companies
Are joint-stock companies required to retain a lawyer?
Article 35 of Attorneyship Law No. 1136 requires joint-stock companies reaching a specified capital threshold and building cooperatives with at least one hundred members to retain a contracted lawyer. For a joint-stock company, its type and registered capital should be assessed together with the minimum capital amount currently in force.
Does the same requirement apply to limited-liability companies?
Limited-liability companies are not listed in the mandatory contracted-lawyer rule under Article 35 of the Attorneyship Law. This does not prevent limited companies from obtaining legal advice from a lawyer on commercial contracts, employment relations, receivables or litigation.
Which documents should a company prepare when seeking a legal opinion?
Depending on the matter under review, trade-registry records, the relevant contract and annexes, invoices and payment documents, correspondence between the parties, and any notices or litigation/enforcement-file documents may be useful. The required documents vary according to the specific dispute.
Legislation: Attorneyship Law No. 1136 and Ministry of Trade announcement on minimum capital. As capital amounts may change, the current legislation should be checked.
Current information: 2026 company-capital transition period and minimum amounts.
